Acceptance of Terms

Welcome to SilentSniper ("SilentSniper," "we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of our website, software, Chrome extension, AI-powered automation tools, and related services (collectively, the "Services").

By creating an account, purchasing a subscription, installing our Chrome extension, or otherwise using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, you must immediately discontinue use of the Services.

Description of Services

SilentSniper provides AI-powered software designed to assist eCommerce sellers with listing creation, product research, order management, workflow automation, and related productivity tools.

Our Services are intended to simplify and automate aspects of online selling but do not guarantee any particular financial outcome, sales volume, profitability, marketplace ranking, or business success.

Users remain solely responsible for all business decisions and marketplace compliance.

Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement to use the Services. By using SilentSniper, you represent that you satisfy these requirements.

Accounts

You are responsible for maintaining the confidentiality of your account credentials. You agree to:

• Provide accurate and complete registration information.
• Keep your information current.
• Maintain the security of your password.
• Notify us immediately of unauthorized access.
• Accept responsibility for all activity occurring under your account.

Subscription and Billing

Certain features require an active paid subscription. By subscribing, you authorize SilentSniper (or our payment processor) to automatically charge your selected payment method at the beginning of each billing cycle until canceled.

Subscriptions automatically renew unless canceled before the next renewal date. Failure to pay may result in suspension or termination of access.

We reserve the right to modify pricing at any time. Any pricing changes will apply to future billing periods after reasonable notice where required by law.

Refund Policy

30-Day Performance Guarantee

SilentSniper offers a 30-Day Performance Guarantee for eligible customers. If, after using the Software for 30 consecutive days, you have maintained at least 1,000 active eBay listings generated or managed using SilentSniper and have received zero completed sales during that 30-day period, you may request a full refund of your subscription purchase.

Refund requests must be submitted within 30 days of the original purchase date by contacting zack@silentsniper.com.

Eligibility for a refund is subject to verification by SilentSniper. We may request supporting documentation or account information necessary to confirm eligibility, including the number of active listings and sales activity. Refunds will not be issued if the eligibility requirements are not met.

Refund Abuse

• Denial of any refund request.
• Immediate and permanent termination of all related accounts.
• Cancellation of active subscriptions without refund.
• Legal action where appropriate.

License

Subject to these Terms, SilentSniper grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to use the Services solely for your own lawful business purposes. No ownership rights are transferred to you.

Prohibited Conduct

You agree not to:

• Reverse engineer, decompile, disassemble, or modify any part of the Services.
• Copy, reproduce, distribute, lease, rent, sublicense, or sell the Software.
• Bypass licensing, authentication, subscription, or security mechanisms.
• Use bots or automated systems to abuse the Services.
• Interfere with servers or infrastructure.
• Upload malware or malicious code.
• Use the Services for unlawful purposes.
• Violate any marketplace's Terms of Service, including those of eBay or Amazon.

Violation of this section may result in immediate account termination without refund.

Intellectual Property

All software, source code, algorithms, AI models, designs, graphics, branding, trademarks, databases, documentation, and content remain the exclusive property of SilentSniper and its licensors. No rights are granted except those expressly stated in these Terms.

Unauthorized use may result in civil and criminal penalties.

Third-Party Services

The Services may integrate with third-party platforms including eBay, Amazon, payment providers, or AI services. SilentSniper is not affiliated with, endorsed by, or sponsored by these third parties unless expressly stated.

We are not responsible for changes, outages, policy updates, or restrictions imposed by third-party services.

Availability

We strive to maintain reliable service but do not guarantee uninterrupted availability. The Services may occasionally be unavailable due to maintenance, updates, outages, security incidents, or circumstances beyond our control.

Updates and Modifications

We may modify, improve, suspend, or discontinue any feature of the Services at any time. We may also release updates to improve functionality, security, or compatibility. Continued use of the Services constitutes acceptance of such updates.

Disclaimer of Warranties

Limitation of Liability

To the fullest extent permitted by law, SilentSniper shall not be liable for any lost profits, lost revenue, lost business opportunities, marketplace suspensions, account bans, data loss, or any indirect, incidental, special, punitive, or consequential damages.

Our total liability for any claim shall not exceed the amount paid by you during the twelve (12) months immediately preceding the claim.

Indemnification

You agree to defend, indemnify, and hold harmless SilentSniper, its employees, affiliates, officers, contractors, and licensors from any claims, liabilities, damages, losses, costs, or expenses arising from:

• Your use of the Services.
• Your violation of these Terms.
• Your violation of applicable law.
• Your infringement of any third-party rights.

Termination

We may suspend or terminate your account immediately if we reasonably believe you have violated these Terms, attempted to bypass subscription restrictions, abused refund policies, engaged in fraud, or misused the Services.

Upon termination, your license immediately ends.

Privacy

Your use of the Services is also governed by our Privacy Policy, which explains how we collect, use, store, and protect personal information.

Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of the State of South Carolina, without regard to conflict-of-law principles. Where mandatory consumer protection laws apply in your jurisdiction, those protections remain unaffected.

Dispute Resolution

Any dispute arising under these Terms shall be resolved exclusively in the courts located in Columbia, South Carolina, unless applicable law requires otherwise.

To the extent permitted by law, you agree to resolve disputes individually and waive participation in any class action or representative proceeding.

Changes to These Terms

We may revise these Terms at any time. Material updates will become effective upon posting to our website or otherwise notifying users. Your continued use of the Services after such changes constitutes acceptance of the revised Terms.
